Constitution



Article I: Name

The name of the organization shall be the Mililani Chess Club.


Article II: Purpose

The purposes of the club are:
1)to operate for educational and training purposes with particular emphasis toward children;
2)to advocate and teach chess as an intellectual path that trains and enhances thinking skills;
3)to enable its members to play the game of chess through sponsorship of tournaments, matches, and other chess events;
4)to develop and implement rigorous chess curricula while providing the proper motivation and atmosphere for development of chess skill;
5)to conduct an outreach program into the community and help other schools and organizations to develop chess programs.


Article III: Membership

1)Any person may become a member of the club.
2)The completion of a club application and payment of annual dues shall determine official membership.  Official membership entitles adult members to vote and discounts for selected fees.
3)Dues shall be optional to participate in club activities.  Current Annual rates: Adults (22 years +): $24; Youth (0-21 years): $12; Family $48 (entitled to two adult memberships and unlimited number of youth memberships from the same household).  Dues shall be prorated for the balance of the fiscal year (1 July to 30 June) for new members joining during the fiscal year.
4)The membership of any person may be revoked
a)in the event that he or she behaves inconsistently with the stated purposes of the club; or
b)is guilty of conduct which in the judgment of the majority of the board members brings disrepute to the game of chess or to the club.


Article IV: Organization

1)Each dues-paying adult member of at least six (6) months shall be entitled to one vote at business meetings and in elections of officers.  Mail votes and proxies are not permitted.
2)The officers of the club shall be a president, vice president, secretary, and treasurer.  The officers shall be the Board of Directors, to be elected for a term of one year by majority approval of the members present at a special annual business meeting of the club conducted prior to the 1st of July each year.  The term of office shall be from 1 July to 30 June each year.
3)Any adult member of the club shall be eligible to hold up to two offices simultaneously.
4)Should a vacancy occur between elections, it may be filled by a majority vote of the board of directors.
5)The Board of Directors shall appoint a Director of Curriculum and Instruction.
6)The Board of Directors shall hire and/or appoint other such managers, assistants and/or committee chairpersons, as they deem necessary.
7)The club shall be affiliated with the U.S. Chess Federation in accordance with the conditions specified by that Federation.


Article V: Duties of Officers

1)  The President shall
a)preside at all business meetings of the club;
b)act for and/or represent the club and the Board of Directors in the absence of a vote;
c)present to the Directors nominees for tournament coordinator, publicity director, librarian. Operations manager, Director of Curriculum and Instruction, or other administrative assistants as deemed necessary.

2) The Vice President shall
a)assist the president;
b)preside at all meetings of the Board of Directors;
c)preside at all meetings in the absence of the president and act on his or her behalf in the event of his or her unavailability.

3)The Secretary shall
a)keep the minutes of all meetings;
b)carry on the correspondence of the club;
c)maintain the official club roster of names, addresses and telephone numbers;
d)send notices of meetings to members.

4)The Treasurer shall
a)collect all authorized dues and other fees;
b)deposit all funds received by him or her with the bank designated by the Board of Directors;
c)make disbursements as authorized by the Board of Directors;
d)maintain financial records of the club and furnish statements to the Board and club members periodically or upon request.

5)The Director of Curriculum and Instruction shall
a)plan and coordinate training and lessons;
b)plan and coordinate special training events;
c)research and develop appropriate chess curricula to challenge and develop skill of its members.


Article VI: Sundry Bylaws

1)General meetings of the club will be scheduled weekly at a regularly established time and location.
2)Business meetings of the club may be called by the president or the Board or by any six members of the club.
3)Business meetings of the club shall be conducted under Robert's Rules of Order, except that these rules may be waived by vote of a majority of members present at a meeting.
4)This constitution may be amended by either a majority of the entire membership or by a three-fourths majority of the members present at a business meeting announced to the entire membership at least one month in advance.
5)Said organization is organized exclusively for charitable, religious, and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
6)No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future tax code.
7)Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to aa state or local government, for a public purpose.  Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

The Board of Directors hereby authenticates this amended Constitution of the Mililani Chess Club on 1 July 1999:
